Terms & Condition (Proofreading & Editing Services)

By submitting your written material (hereafter called the Material) to The Wizard’s Wheel and M M C Fraser (hereafter called the Editor) for the purposes of obtaining services or quotes for services, you (hereafter called the Client) are agreeing to the following terms and conditions.
A. General

  • By requesting a quotation the client is under no obligation to offer the work; neither is the Editor under any obligation to accept work offered by the Client.
  • The Editor will provide service(s) as mutually agreed, confirmed in writing by the Client.
  • The work will be carried out unsupervised at such times and places as determined by the Editor, using her own equipment.
  • The Editor confirms that she is self-employed, is responsible for her own income tax and National Insurance contributions, and will not claim benefits granted to the Client’s employees.
  • If the Editor has made a substantial contribution to the copy-editing/proofreading/publication of the work, she will be entitled to receive one free copy of the work.
  • The Editor may use the Client’s name in her promotional material.
  • Under the terms of the Data Protection Act 1998, the Client and the Editor may keep on record such information (e.g. contact details) as is necessary. Either may view the others records to ensure that they are relevant, correct and up to date.

B. Submission of Material.

  • The Client grants the Editor the right to alter and amend the Material as she sees fit.
  • The Editor will record all alterations and amendments to the Material by using the Track Changes function of Microsoft Word or equivalent word-processing software or by marking a printed copy in red ink. No changes will be made without being clearly marked as such.
  • The Editor will not publish in print or electronic form nor share the Material or any part thereof with any third party in original or edited form without your permission unless required to do so by law.
  • You declare that the Material belongs to you as the author and copyright holder or as the authorised agent of the author.
  • Any content created by the Editor as part of the copy-editing/proofreading/publication process will become the copyright of the Client, unless otherwise agreed.
  • The nature and content of the work will be kept confidential and not made known to anyone other than the Client without prior written permission.

C. Definition of Services.

Services provided by the Editor are defined as follows.

“Standard copy-editing”.

  • Reading of the Material and correction or identification of errors or inconsistencies of spelling, punctuation, grammar, revision of unclear phrasing and other technical flaws such as repetitions, contradictions and inconsistencies in the content.
  • Standard copy-editing does not include advice on plotting, narrative, characterisation, subject matter, scholarship nor any other creative matter.
  • The Material will be read once by the Editor and simultaneously corrected.

“Advanced copy-editing”.

  • Reading of the Material and correction or identification of errors or inconsistencies of spelling, punctuation, grammar, revision of unclear phrasing and other technical flaws such as repetitions, contradictions and inconsistencies in the content.
  • Advanced copy-editing does not include advice on plotting, narrative, characterisation, subject matter, scholarship nor any other creative matter.
  • The Material will be read twice by the Editor and simultaneously corrected.
  • Between the first and second readings the Material, with corrections, will be returned to you for approval.
  • You can add new material to the Material at this time, up to a limit of 2000 words, without incurring additional costs.

“Proofreading”.

  • Reading of the Material and correction of errors or inconsistencies of spelling, punctuation, grammar, type-style and other technical flaws.
  • Proofreading does not include correction or identification of repetitions, contradictions or inconsistencies in the content, advice on plotting, narrative, characterisation, subject matter, scholarship nor any other creative matter.
  • The Material will be read once by the Editor and simultaneously corrected.

“Correction”.

  • Identification and marking of errors, inconsistencies or other flaws in the Material.
  • Every effort will be made to provide an emendation for every flaw, but in some cases, such as unclear phrasing, “Correction” may be limited to identification of the flaw so that you can amend it.

D. Accuracy of editing and proofreading.

While every effort will be made to ensure accuracy and thoroughness, there is no guarantee that every error, inconsistency or other flaw in the Material will be identified.

E. Deadlines.

Deadlines for completion of services will be agreed before commencement of the service. The Editor reserves the right to alter deadlines if you change the service brief or fail to meet agreed deadlines during the course of the service.

F. Fees and charges.

  • The fees for services provided by the Editor will be agreed before commencement of work. The Editor will provide you with a written quote for the service(s) requested.
  • The Client will pay the Editor the fee as agreed during the quotation process.
  • The completed work will be delivered on or before the date agreed, for the agreed fee, which will be based on the work supplied during the initial consultation process, upon which the quote for services was based.
  • If, however, on receipt of the item to be worked on or at an early stage, it becomes apparent that significantly more work has been added the Editor may renegotiate the fee and/or the deadline.
    Similarly, if, during the term of the Editor’s work, additional tasks are requested by the Client, the Editor may renegotiate the fee and/or the deadline.
  • Any changes you make to the Material between the provision of the written quote and the commencement or completion of the service may incur additional fees and charges. Any such additional fees and charges will be calculated by the Editor based on the per-1000-words rates for the relevant service.
  • Any changes you make to the deadlines agreed before commencement of work may incur additional fees and charges. Any such additional fees and charges will be calculated by the Editor.
  • Fees and charges agreed before the commencement of the service are not negotiable. You do not have the right to reduce or refuse payment based on the style of any work done as part of the agreed service nor interpretation of the nature of the agreed service.
  • The Editor agrees to attend the Client’s or other premises for necessary meetings, the time spent will be charged at £20 per hour, with agreed reasonable expenses incurred to be reimbursed by the Client.
  • The Client will reimburse the Editor for agreed reasonable expenses over and above usual expenses incurred in the process of editorial work. (For example, meetings with the Client or his/her representatives).

G. Payment.

  • For all services with fees and charges totaling up to and including £100 the total amount will be payable in full in advance.
  • For all services with fees and charges totaling more than £101 and up to and including £1000 half of the total amount will be payable in advance and the remaining balance will be payable on completion of the service.
  • For all services with fees and charges totaling more than £1000, the first £500 will be paid in advance, with the rest payable in installments as detailed in the Quote and agreed by the Client before commencement of the work.
  • All payments for completed services must be made within 30 days of receipt of the invoice.
  • All advance payments for services must be made before the service commences.
  • Non-payment of invoices will incur the charging of interest and fixed compensation charges. Continued non-payment will incur the instigation of legal proceedings or the instruction of debt recovery agents in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 (amended 2002 and 2013).

H. Amendments.

The Editor reserves the right to amend any and all of these Term and Conditions with notice to you.

I. Termination.

  • The Client and the Editor each have the right to terminate the agreed service at any time.
  • Termination will be subject to the payment or refunding of charges as described in section F of these Term and Conditions.
  • In the event that you terminate the agreed service before completion, you will be charged fees for the full amount of work done whether completed or not up to the time of termination.
  • You will be refunded any charges already paid for any work not yet begun.
  • In the event that the Editor terminates the agreed service before completion, you will be refunded any fees already paid for any part of the agreed service not yet completed.

This agreement is subject to the laws of England and Wales and both Freelance and Client agree to submit to the jurisdiction of the English and Welsh Courts.
